1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Invoxio, Inc. ("Invoxio," "we," "us," or "our") governing your access to and use of the Invoxio website, APIs, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Invoxio provides telecommunications APIs and services, including but not limited to:

  • Phone number lookup and validation (telco.dev)
  • Voice and communication APIs (talk.dev)
  • SMS and messaging services (sms.dev)
  • VoIP connectivity (voip.dev)
  • Phone number provisioning and management

Invoxio is part of the do.dev ecosystem and shares authentication and billing infrastructure with other do.dev services.

3. Account Registration

To use certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Keep your password secure and confidential
  • Be responsible for all activities under your account
  • Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable laws or regulations
  • Send spam, unsolicited messages, or engage in illegal telemarketing
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Services
  • Infringe on intellectual property rights
  • Engage in fraudulent or deceptive practices
  • Harass, abuse, or harm others
  • Violate telecommunications regulations (TCPA, STIR/SHAKEN, etc.)

5. Telecommunications Compliance

When using our telecommunications services, you are responsible for:

  • Obtaining proper consent before sending messages or making calls
  • Complying with the Telephone Consumer Protection Act (TCPA)
  • Adhering to CAN-SPAM requirements for commercial messages
  • Following carrier guidelines and messaging best practices
  • Maintaining accurate caller ID information
  • Complying with local telecommunications laws in all jurisdictions

Violation of telecommunications regulations may result in immediate suspension of your account and reporting to appropriate authorities.

6. Fees and Payment

Certain Services require payment. By using paid Services, you agree to:

  • Pay all applicable fees as described in our pricing
  • Provide accurate billing information
  • Authorize us to charge your payment method
  • Pay any applicable taxes

Fees are non-refundable except as required by law or as explicitly stated. We reserve the right to change our pricing with reasonable notice.

7. API Usage

When using our APIs, you agree to:

  • Use API keys only for authorized purposes
  • Keep API keys confidential and secure
  • Not exceed rate limits or usage quotas
  • Not circumvent security measures
  • Comply with our API documentation and guidelines

8. Intellectual Property

The Services and all content, features, and functionality are owned by Invoxio and protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any content you submit through the Services. By submitting content, you grant us a license to use, store, and process that content as necessary to provide the Services.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVOXIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Invoxio and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of your use of the Services or violation of these Terms.

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination will survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
